LIGHTRIANGLE PRODUCTIONS TERMS AND CONDITIONS
NON-REFUNDABLE RESERVATION FEES
A reservation deposit of 30% is due upon signing of this agreement. Once the
agreement is signed and the deposit is paid, Lightriangle Productions, shall
reserve the time and date agreed upon for said event and will not make other
reservations that will conflict with said event. For this reason all reservation fees
are NON-REFUNDABLE. The remaining balance shall be paid no later than two
weeks prior to said event.
VIDEOGRAPHER
Lightriangle Productions shall assign a videographer to the event. The
videographer will contact the client the week of said event to cover any last
minute details. Lightriangle Productions reserves the right to change the initial
assignment and substitute another videographer at any time. If necessary, an
assistant(s) to the videographer will also attend the event.
LOCATIONS: The client acknowledges that this agreement is for 2 locations.
Locations may be added until the day of event for a charge of $100 per additional
location.
HOURS: The primary videographer will be assigned up to 8 or 10 hours (based
on package) for said event. If the package includes a second videographer for
the ceremony only, he/she will be assigned up to 3 hours. If the package includes
a second videographer for the entire day, he/she will be assigned up to 8 hours.
ADDITIONAL HOURS: Additional hours may be added at any time, up to and
including the day of the event. The charge for additional hours is $150 per hour.
“SPLIT TIME”: Client understands that a “split time” charge of $200 will be added
if there is a 2 hour or more time gap during the day of the event.
Due to the length of time required to videotape said event, the client agrees to
provide the videographer(s) and any assistants with a meal equal to client’s
guests.
CHANGE OF DATE, TIME OR PACKAGE
Client may upgrade said video package at any time up to and including the day of
the event, provided Lightriangle Productions has an available videographer. In
case of a change in the time or date of said event, Lightriangle Productions shall
make reasonable efforts to accommodate the change. However; if the new time
or date conflicts with Lightriangle Productions’s existing schedule, Lightriangle
Productions reserves the right to terminate the agreement. In the event of such
termination, Client shall forfeit any previous non-refundable deposits.
CANCELLATION
In the event of cancellation by client, Lightriangle Productions must receive at
least 90 days notice otherwise client agrees to forfeit their deposit as payment for
reservation of services.
In the event of cancellation by the client within 90 days, in addition to forfeiting the
deposit, the client will be obligated to pay the following:
0-14 days 100%
15-30 days 75%
31-60 days 50%
61-89 days 30%
If the client is forced to forfeit or pay additional funds, the client may use funds as
a credit towards future use of Lightriangle Productions’s services within 1 year of
the date that services were originally scheduled to occur.
LIMITATION OF LIABILITY
In the event Lightriangle Productions’s services are prevented or impaired due to
circumstances beyond its reasonable control, including but not limited to the
following: war, terrorist acts, riots, strikes, fire, acts of God, including adverse
weather conditions and earthquakes, laws or governmental restrictions which
conflict with the terms of this agreement, Lightriangle Productions shall not be
held liable to the client beyond any fees previously paid by the client. The
client warrant(s) that they have all necessary licenses and permits for Lightriangle
Productions to perform contracted services.
Lightriangle Productions reserves the right to decline outdoor videotaping in the
event of inclement weather that may damage equipment. Client is responsible for
providing an alternate nearby location in the event of inclement weather.
In the event of any unanticipated videographer illness, Lightriangle Productions
shall make reasonable efforts to substitute another videographer. If another
videographer cannot be assigned in time for said event, Lightriangle Productions
shall promptly return to client all fees previously paid by client, and shall then
have no further liability with respect to this agreement.
LIQUIDATED DAMAGES
Lightriangle Productions recognizes that due to the sentimental value of products
and services provided, it is extremely difficult to determine the extent of client’s
actual damage in the event of any breach arising from the negligence or other
unintentional conduct of Lightriangle Productions.
Therefore, the parties agree that in the event of aforementioned breach, client
shall be entitled to the following:
IN THE EVENT OF DAMAGE TO OR LOSS OF ANY VIDEOTAPED FOOTAGE: a
percentage reduction in the price of the video package, based upon the amount of
actual tape-time which has been damaged, lost or not captured. Client would then
receive the final product, containing the footage from the event, which was
captured, not lost or undamaged.
IN THE EVENT OF DAMAGE TO OR LOSS OF ANY PHOTOGRAPHS: payment in
the sum of $1.00 per lost/damaged photograph.
The return of such fees and payment of such damages shall be the sole and
exclusive remedies available to client.
EXCLUSIVITY
Family and friends of client shall be permitted to videotape said event provided
that such person(s) do not interfere with the videographer’s duties. If, in the
opinion of the assigned videographer, such person(s) are inhibiting the
videographer from performing his or her duties, client shall require the person(s)
interfering with the videographer to stop all further videotaping.
EDITING AND COMPLETION OF FINAL PRODUCT
Lightriangle Productions must receive final payment as well as all materials
related to said event, including but not limited to bridal party/credit list, music
selections, photos, etc…before editing can commence. Once Lightriangle
Productions commences the editing process, from the time of scheduling to
receipt of the final product is an average of 8 to 10 weeks, at which time
client will receive the final product of said event.
RAW FOOTAGE
Client may purchase the original MiniDV tapes for an additional fee of $100.00.
However, if client elects not to purchase raw footage, it will be stored and
available for purchase for 2 years following said event, after which it will be
destroyed.
PUBLICITY/PROMOTIONAL RIGHTS
Upon signing this agreement, client acknowledges that Lightriangle Productions
retains ownership of all recorded audio and video materials and thereby reserves
the right to use these materials for promotional purposes.
ATTORNEY’S FEES and APPLICABLE LAW
The validity and interpretation of this agreement shall be construed in accordance
with the laws of the State of California. Any court action to enforce this
agreement, or arising out of this agreement or the services provided by
Lightriangle Productions shall be brought in a court of competent jurisdiction in
the County of Orange, State of California. Should either party institute legal
action, at law or in equity, to enforce any of the provisions hereunder, the
prevailing party shall be entitled to receive, from the other party, all
costs and necessary disbursements in addition to any other relief to which it may
be entitled, and reasonable attorney’s fees.
In case any provision of this agreement shall be invalid, illegal or unenforceable,
the remaining provisions shall not, in any way, be affected or impaired thereby.
Unless otherwise provided herein, this agreement shall be binding upon and
insure to the benefit of the parties hereto and their respective heirs, beneficiaries,
successors and assigns. Each party represents that all required authorizations
for the execution of this agreement necessary to make this instrument binding in
accordance with its terms against such party have been obtained and are in
effect.
